RocketAuto Terms & Conditions
Last updated 14 August 2026
These Terms & Conditions (the "Terms") are a binding agreement between RocketAuto ("RocketAuto", "we", "us", "our") and the dealership, business, or individual accessing our services ("you", "your"). They govern your access to and use of the RocketAuto dealership management platform available at rocketauto.ca, including its web application, hosted dealership websites, APIs, and related services (together, the "Platform"). Please read them carefully — by activating an account, accepting an invitation, or using the Platform, you agree to them.
1. Introduction
By creating or activating an account, accepting an invitation, or otherwise accessing the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you use the Platform on behalf of a dealership or other business, you represent that you have the authority to bind that business, and "you" includes that business.
We may amend these Terms, our fees, or the features of the Platform from time to time. Where a change is material, we will take reasonable steps to notify you — for example by email to your account address or by a notice inside the Platform. Your continued use of the Platform after an amended version takes effect constitutes your acceptance of it. If you do not agree with a change, you must stop using the Platform and may cancel your subscription as described in Section 6.
2. Effective Date
These Terms take effect for you on the earlier of the date your account becomes active on the Platform and the date you first access or use the Platform, and they continue to apply until your account is closed and your subscription has ended.
3. Eligibility
The Platform is a business tool intended for motor-vehicle dealerships and related businesses. You may use it only if you are a validly existing legal entity, or an individual who has reached the age of majority in your province or territory of residence and has the legal capacity to enter into a binding contract.
Access to the Platform is by invitation. Accounts are created by RocketAuto or by an authorized administrator at your dealership, and you may only use an account that was created for you.
4. Intellectual Property Rights
The Platform — including its software, source code, design, page layouts, text, graphics, logos, trademarks, and all other content we make available, other than Your Data (defined below) — is owned by RocketAuto or its licensors and is protected by Canadian and international intellectual-property laws.
Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during your subscription. No other rights are granted, whether by implication or otherwise.
Your Data stays yours. The records you and your team enter into or upload to the Platform — inventory, customer records, deals, service and work-order records, financial records, images, and documents ("Your Data") — remain your property. You grant RocketAuto a limited licence to host, process, transmit, display, and back up Your Data solely as needed to provide the Platform and its features to you.
5. Content Permission & Restrictions
Except for Your Data, and except as these Terms expressly permit, you may not copy, reproduce, republish, distribute, publicly display, sell, sublicense, or otherwise exploit any part of the Platform or its content without our prior written permission. Requests for permission may be sent to support@rocketauto.ca.
Unauthorized use of the Platform or its content may violate copyright, trademark, and other federal and provincial laws, and may result in suspension or termination of your access in addition to any other remedies available to us.
6. Subscriptions, Fees & Payment
Access to the Platform is provided under a subscription plan — an order form, in-app plan, or other written agreement between you and RocketAuto that sets out your fees, billing frequency (monthly or annual), included modules, and user-seat limits.
- Billing and renewal. Fees are billed in Canadian dollars and are processed securely by our third-party payment processor (currently Stripe). Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with this section.
- Trials. Where a free trial is offered, billing begins automatically when the trial ends unless you cancel before the trial expires.
- Cancelling a monthly plan. You may cancel a monthly subscription by written notice or through your billing portal at least thirty (30) days before your next renewal date. Your subscription remains active, and fees remain payable, through the end of the notice period.
- Ending an annual plan early. Annual subscriptions are a fixed-term commitment. If you terminate an annual subscription before the end of its term (other than for our uncured material breach), an early-termination charge equal to forty percent (40%) of the fees remaining for that term applies.
- Taxes. Fees are exclusive of applicable taxes (including GST/HST and any provincial sales taxes), which are your responsibility.
- Overdue accounts. If your account is more than seven (7) days overdue, we may suspend access to the Platform until the balance is paid. If it is more than thirty (30) days overdue, we may terminate your subscription, after which Your Data may be deleted in accordance with Section 12.
- Price changes. We may change our fees on notice to you; changes take effect at your next renewal.
7. No Refund Policy
Except where these Terms or applicable law expressly require otherwise, all fees are non-refundable once paid. This includes prepaid fees for the unused portion of a billing period after you cancel or your subscription is terminated.
8. Protection of Privacy
We collect, use, and disclose personal information in accordance with our Privacy Policy and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and substantially similar provincial legislation.
Your Data may include personal information about your own customers. As between you and RocketAuto, you are responsible for that information: for collecting it lawfully, for obtaining any consents your customers' privacy rights require, and for responding to your customers' requests about it. RocketAuto processes it on your behalf and on your instructions in order to provide the Platform.
Some Platform features use third-party artificial-intelligence providers. Content is sent to those providers only when your dealership uses an AI feature, and AI features can be switched off for your company. See the Privacy Policy for details, including our use of cookies and similar technologies.
9. Limitation of Liability & Disclaimer of Warranties
The Platform is provided "as is" and "as available", without warranties, representations, or conditions of any kind, whether express or implied — including implied warranties or conditions of merchantable quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
Software, not advice. Reports, estimates, valuations, and AI-generated content produced by the Platform are assistive tools only. You are responsible for verifying important figures and for your own business decisions, and you remain solely responsible for your dealership's compliance with the laws and industry regulations that apply to it — including provincial motor-vehicle sales licensing and consumer-protection requirements.
To the maximum extent permitted by law, RocketAuto and its directors, officers, employees, and suppliers will not be liable for any indirect, special, incidental, punitive, or consequential damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or related to the Platform or these Terms, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to the Platform or these Terms will not exceed the fees you paid to RocketAuto in the twelve (12) months preceding the first event giving rise to the claim, or CAD $100 if you have paid no fees. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Rules of Conduct
When using the Platform, you must not:
- upload or transmit content that is unlawful, defamatory, harassing, or otherwise harmful, or that infringes anyone's rights;
- interfere with or disrupt the Platform, its infrastructure, or other customers' use of it, or probe, scan, or test its security without our written authorization;
- introduce viruses, malware, or any other harmful code;
- use bots, scrapers, crawlers, or other automated means to access or extract data from the Platform, except through interfaces we provide for that purpose.
You are responsible for all activity that occurs under your account. Keep your sign-in credentials confidential, do not share accounts, and notify us immediately at support@rocketauto.ca if you suspect any unauthorized access to or use of your account.
11. User Restrictions
You further agree not to:
- disguise or misrepresent your identity or the origin of any information you submit;
- enter records you know to be false, misleading, or fraudulent — including vehicle, pricing, or availability information published to a dealership website through the Platform;
- frame or mirror any part of the Platform without our written consent;
- reverse engineer, decompile, or disassemble any part of the Platform, except to the limited extent applicable law permits despite this restriction;
- use the Platform in a way that degrades its performance or places an unreasonable load on our infrastructure;
- use the Platform to build or assist a competing product or service; or
- remove or alter any proprietary notices displayed on the Platform.
12. Suspension & Account Termination
We may suspend or terminate your access to the Platform if you materially breach these Terms, use the Platform unlawfully, create a security or operational risk to the Platform or to other customers, or fail to pay fees as described in Section 6. Where practical, we will give you notice and a reasonable opportunity to correct the problem first. You may end your subscription as described in Section 6.
When your subscription ends, your access to the Platform stops. You may request an export of Your Data by written notice within thirty (30) days after termination; after that period, Your Data may be deleted or anonymized in accordance with our retention practices, except where the law requires us to keep it. Sections of these Terms that by their nature should survive termination — including intellectual-property provisions, fees owing, disclaimers, limitations of liability, dispute resolution, and governing law — survive it.
13. Dispute Resolution
If a dispute arises out of or relates to the Platform or these Terms, the parties will first attempt to resolve it through good-faith negotiation: either party may deliver a written notice describing the dispute, and the parties will negotiate for thirty (30) days from that notice.
Any dispute not resolved through negotiation will be referred to mediation and, failing settlement, to final and binding arbitration before a single arbitrator, administered by the ADR Institute of Canada in accordance with its rules. The seat of the mediation or arbitration will be in the Province of Alberta and the language will be English. Nothing in this section prevents either party from seeking urgent injunctive relief from a court, or from bringing an eligible claim in small-claims court.
14. Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in it, without regard to conflict-of-laws principles. Subject to Section 13, the parties attorn to the exclusive jurisdiction of the courts of Alberta.
15. General
- Entire agreement. These Terms, the Privacy Policy, and your subscription plan or order form make up the entire agreement between you and RocketAuto about the Platform, and supersede any prior discussions.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions stay in full force.
- No waiver. A failure to enforce a provision is not a waiver of it; waivers must be in writing.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may give you notice at the email address on your account; you may give us notice at support@rocketauto.ca.
16. For Residents of Quebec
The parties confirm that it is their express wish that these Terms and all related documents be drawn up in English. Les parties confirment leur volonté expresse que la présente convention, de même que tous les documents s'y rattachant, soient rédigés en langue anglaise.
17. Independent Legal Review & Agreement
You acknowledge that you have read and understood these Terms, that you have had an adequate opportunity to obtain independent legal advice before accepting them, and that you accept them freely and voluntarily.
18. Contact Information
